Description of Service

Clausly is a contract management platform that provides:

• AI-Powered Analysis: Automated review of contracts to identify key terms, risks, and obligations
• Risk Identification: Highlighting of potentially unfavorable clauses and missing protections
• Recommendations: Suggestions for contract modifications and negotiation points
• Team Collaboration: Tools for sharing and collaborating on contract review within your organization

Account Registration

When you create an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breach

For team or organization accounts, the account administrator is responsible for managing user access and ensuring all team members comply with these Terms.

Acceptable Use

You agree NOT to use Clausly to:

• Upload content that violates any law or infringes on others' rights
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Use the Service for any illegal or unauthorized purpose
• Reverse engineer, decompile, or attempt to extract the source code
• Resell, sublicense, or provide access to the Service to third parties without authorization

Your Content

Regarding the contracts and documents you upload:

• Ownership: You retain all ownership rights to your documents. Clausly does not claim ownership of your content.
• License: You grant Clausly a limited license to process, analyze, and store your documents solely to provide the Service to you.
• Responsibility: You are responsible for ensuring you have the right to upload and analyze the documents you submit.
• Confidentiality: We treat your documents as confidential and do not share them with third parties except as described in our Privacy Policy.

CLAUSLY'S AI ANALYSIS IS FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL ADVICE.

• The AI-generated analysis, risk assessments, and recommendations are automated suggestions and may contain errors or omissions.
• Clausly is NOT a law firm and does NOT provide legal advice. Our Service is not a substitute for professional legal counsel.
• You must independently verify all information and consult with a qualified attorney before making legal or business decisions based on our analysis.
• Clausly makes NO guarantees about the accuracy, completeness, or reliability of the AI analysis.
• You assume ALL risk associated with relying on the AI-generated insights.

BY USING CLAUSLY, YOU ACKNOWLEDGE AND AGREE THAT CLAUSLY BEARS NO RESPONSIBILITY OR LIABILITY FOR ANY DECISIONS, ACTIONS, OR OUTCOMES RESULTING FROM YOUR USE OF THE AI ANALYSIS.

Subscription & Payment

Regarding paid subscriptions:

• Billing: Subscriptions are billed in advance on a monthly or annual basis
• Auto-Renewal: Subscriptions automatically renew unless cancelled before the renewal date
• Price Changes: We may change prices with 30 days' notice before your next billing cycle
• Refunds: We offer a 7-day money-back guarantee for new subscriptions. After 7 days, refunds are provided at our discretion.
• Cancellation: You may cancel your subscription at any time. Access continues until the end of your current billing period.

Intellectual Property

• Clausly's Property: The Service, including its design, features, code, and content (excluding your documents), is owned by Clausly and protected by intellectual property laws.
• Your Property: You retain all rights to the documents and data you upload. We do not claim ownership of your content.
• Feedback: If you provide suggestions or feedback, you grant us the right to use it without compensation or attribution.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind
• Clausly shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Clausly shall not be liable for any loss of profits, data, business opportunities, or goodwill
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any decisions or actions you take based on the AI analysis

Termination

• By You: You may terminate your account at any time through your account settings or by contacting support
• By Us: We may suspend or terminate your account for violation of these Terms, non-payment, or at our discretion with notice
• Effect: Upon termination, your right to use the Service ceases immediately
• Data Export: We recommend exporting your documents before termination. Data will be deleted according to our Privacy Policy.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of Hong Kong SAR, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through:

• Negotiation: First, we will attempt to resolve disputes through good-faith negotiation
• Arbitration: If negotiation fails, disputes shall be resolved by binding arbitration in Hong Kong
• Jurisdiction: You consent to the exclusive jurisdiction of the courts of Hong Kong SAR

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on this page with a new "Last Updated" date
• Sending an email notification for significant changes
• Displaying a notice within the Service

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
